Xlnt Rides, LLC Platform Access Agreement v1.1 – 05/03, 2024
By accepting the terms of this Platform Access Agreement (hereinafter referred to as the “PAA”) by and among you personally and your company/business (hereinafter referred to as “you”) and Xlnt Rides, LLC (hereinafter referred to as “Xlnt Rides” or “Xlnts”), you agree to the following:
Proprietary Information
- This PAA contains proprietary information about fare and payment terms for Xlnt Rides, LLC as well as proprietary procedures and benefits that are not to be shared or duplicated.
Booking Agent Role
- Xlnt Rides, LLC and its wholly-owned subsidiary, dba Asheville Hopper, Inc., will act as your booking agent for your independent private ride service.
- This agreement is effective as of the date and time you accept it.
- Capitalized terms used herein but not defined shall have the meanings ascribed to them in the PAA.
- References to “we”, “our”, and “us” may also refer to Xlnts.
- By signing or clicking on “Yes, I agree,” electronically, you agree to be bound by the terms below as of the date of your acceptance.
- All forthcoming addendums or changes will replace and supersede any previous agreement or addendum that you have accepted related to the subject matter described herein.
Initial
Fares and Fees
- Base Amount or Fare: You will be paid 100% of the base fare. Although we charge the passenger a 20% driver fee as a base guaranteed gratuity, it balances out as we charge you 20% for our administrative services (e.g., Google advertising, leads, social media ads, scheduling, pricing, collecting, and use of our proprietary procedures, company name, and software).
- Additional Tips: You will always receive 100% of any additional tip added at the end of all rides. We ask that you do not ask for tips directly and that you never say your tip is not included. You may instead respond, “additional tips are graciously accepted,” and then work to earn them. We want additional tips for you on every ride for exceptional service.
- Booking Fee: We typically charge a 10% booking fee to the customer above the calculated fare, which is not charged to you and does not affect you. We may adjust this fee to get you the ride, but it will not impact you. We charge the passenger a 4% credit card fee for online charges, which is also not shared with the driver. Anything additional that is marked up, you will receive 70% of.
Fare Calculation
- Fare amounts can be based on:
- Estimated or actual distance and/or time,
- Flat-rate pricing or zones,
- Hourly rates.
- Quotes may vary based on time-of-day peaks and premiums or customer needs like added stops or car seats. The fare may include additional fees paid by the requester, such as difficulty level, traffic, or weather conditions adding extra time and distance.
Initial
Business Development
- You will be provided with a web page and booker for your leads to sign up and schedule rides, as well as business cards to help you build your business.
- You will get first dibs on all new business you bring in from your web booker page.
- The fee we charge to operate will remain the same, but this is your customer and will be treated that way for the life of the account and your service.
- If we book and complete the ride request with another driver, you will be compensated 10% from our booking fee, which will not be charged to the other driver.
- We do not have an exclusive relationship with you, and either party can terminate the relationship at any time for no reason.
Client Relationship
- We expect all Xlnts passengers to remain Xlnts passengers. Therefore, you will only give Xlnts approved business cards to your Xlnts clients.
- If a passenger contacts you for a ride, they remain an Xlnts client and should stay that way. You are to inform us immediately so we can record and schedule it with protocols in place.
- The Xlnts business cards are also for you to help build business and referral income at your discretion, should you be unable to handle a ride.
Standards and Expectations
- All information, passengers, marketing, and procedures are proprietary and sharing such will be considered immediate cause for termination.
- Car Cleanliness and Safety
- Hygiene and Appearance
- Conduct, Language, and Behavior
- Punctuality
- Insurance
- Laws and Ordinances
- Professionalism with regard to the company
Dispute Resolution
- In the event of a misunderstanding or unforeseen circumstance, you and we hereby agree to mediation by a third party and not legal action.
